1. Acceptance of Terms
By accessing or using Context Spine ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Service. We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.
2. Description of Service
Context Spine is a context intelligence platform that aggregates, processes, and analyzes data from various sources to provide unified organizational intelligence. The Service includes:
- Data ingestion through configurable connectors (nerves)
- Event processing and orchestration (cortexes)
- Analysis and insight generation (cerebrums)
- Visualization and querying interfaces
- API access for programmatic integration
- Brand monitoring and intelligence features
3. Account Registration
To use the Service, you must create an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain and update your information to keep it accurate
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Transmit malware, viruses, or other malicious code
- Attempt to gain unauthorized access to systems or data
- Interfere with or disrupt the Service or its infrastructure
- Scrape, crawl, or spider the Service without authorization
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service for competitive analysis or to build competing products
- Exceed rate limits or abuse API access
- Share account credentials with unauthorized users
5. Your Data
You retain ownership of all data you submit to the Service ("Your Data"). By using the Service, you grant us a limited license to process Your Data solely to provide the Service to you.
You are responsible for:
- Ensuring you have the right to submit Your Data to the Service
- The accuracy and legality of Your Data
- Maintaining appropriate backups of Your Data
- Compliance with any third-party terms related to Your Data
We may use anonymized, aggregated data for improving the Service and generating industry benchmarks.
6. Payment and Billing
Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated otherwise.
- Prices are subject to change with 30 days notice
- You are responsible for all applicable taxes
- Failed payments may result in service suspension
- Downgrades take effect at the end of the current billing period
7. Intellectual Property
The Service, including its design, features, code, documentation, and content (excluding Your Data), is owned by Context Spine and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our written permission.
"Context Spine," the Context Spine logo, and other marks are trademarks of Context Spine, Inc. You may not use these marks without our prior written consent.
8. Third-Party Integrations
The Service allows integration with third-party services. Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or content of third-party services.
9. Service Availability and Support
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, upgrades, or circumstances beyond our control.
Support is provided according to your subscription tier. Enterprise customers receive priority support with defined SLAs.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTEXT SPINE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless Context Spine, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
13. Termination
You may terminate your account at any time through the account settings. We may terminate or suspend your access immediately for violations of these Terms or for any other reason at our discretion.
Upon termination, your right to use the Service ceases immediately. You may request export of Your Data within 30 days of termination. After that period, we may delete Your Data without liability.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.

15. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and Context Spine regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Failure to enforce any right does not constitute a waiver of that right.
- Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
- Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
